Choosing the suitable jurisdiction for an international startup

Q: Dear sir/madam, I am part of a very early-stage startup and we are trying to write up an NDA for our team members. We haven’t incorporated anywhere and our team members are scattered all over the world. (I’m currently in the UAE, the founder is in Turkey, someone is in Indonesia, etc.). We’re struggling to figure out what jurisdiction we’d even fall under since it’s an international employment contract. Even if we were to settle on one jurisdiction, wouldn’t we have to physically be there? What courts would even hear us? What should we do?

Who is liable for the maintenance of a property, the landlord or the tenant?

Q: Good day, I would like to ask regarding the tenant rights. Our air conditioning broke down and the landlord is insisting that we are the one who should buy a new compressor which is not on the leasing contract that I signed. Are we really liable for the repair cost of that AC or the landlord? Thanks for the help!

س: السلام عليكم، زرت عيادة تجميل بتاريخ 26 مايو 2022 وطلبت من الدكتورة إجراء بسيط. الدكتورة أقنعتني بحقن ثلاث حقن في الوجه ووافقت حسب خبرتها، بعدما انبهرت بالسوشيال ميديا خاصتهم. بعد حوالي 3 أسابيع، ظهر ألم وتكتلات وحدث تشوه وتغيير بشكلي. أخدت موعد وذهبت اليوم التالي عند نفس العيادة وطلبت دكتورة أخرى لأني لم أكن مقتنعة بحقن 3 حقن وطبعًا ما عدت أثق فيها. رفضوا فطلبت تقرير بالمواد التي استخدمت ورفضوا أيضًا. انتظرت الدكتورة لمدة ساعتين وأعطتني كورتيزون. لم أقتنع ولم احتمل شكل وجهي بالتشوه، وذهبت لعيادة أخرى في نفس اليوم وبدأت العلاج لديهم وأخذت تقرير منهم. تواصلت مع العيادة الأولى لاسترداد الأموال وملأت استمارة الشكاوى لحين 07 أغسطس. أرسلوا إيميل بأنهم وافقوا على إجراء التذويب. خلال تلك الفترة الطويلة، كتبت تقييم لهم على جوجل وعلى الإنستغرام ونصحت الناس أن هدفهم تجاري لينتبهوا منهم وشرحت القصة. أمس تواصلوا معي يهددوني بالأمن الإلكتروني وأنهم نسخوا التقييم وسيرفعون قضية. هل يلزمني محامي؟ وهل شرح القصة جريمة؟ وهل يلزمني أن أحذف التقييم؟

كيف يمكن تقديم طلب تقسيط نفقة متراكمة للزوجة بعد الطلاق؟

س: لدي مطالبة مالية بشيك مرتجع ٥٠٠ ألف للزوجة، وأيضاً نفقة بعد الطلاق تقدر ب ٤٠٠ ألف. كيف لي تقديم طلب تقسيط مبلغ المطالبتين حيث أنني لا أملك المبلغ بالكامل وأستطيع دفع مبلغ مقدماً يساوي ٥٠% من مجموع المبلغ المطلوب؟ هل سيوافق القاضي أم سأصطدم برفض طليقتي للتقسيط قي محاولة منها لإدخالي إلى السجن؟ أم أن القاضي سيرفض دخولي إلى السجن ويوافق على التقسيط؟ القضايا في محاكم دبي

The Police App is showing on case while a bank filed a case. How to confirm?

Q: Dear sir/madam, The bank filed a case on me in 2021 for a bounced check of 45K AED. It was shown on the Police App as a financial case. Now, I was checking the Police App and it is showing no case and all clear. A friend checked the system for any cases and it showed nothing. Also, I checked the civil record and it is showing clear. Am I clear? I need to go back to the UAE and am afraid of any issues at the airport.

How to remove sponsor's name from a trade license after passing away?

Q: Dear sir/madam, A local sponsor of an LLC company passed away and left three windows and fifteen children. They all are not appearing in court in order to sign NOC to remove the sponsor`s name from the trade license. Is there any alternative besides getting NOC from the local sponsor’s family? DED is the licensing authority and sponsors hold Sharjah passports.

Is it advisable to cancel the contract upon developer's failure to handover on time?

Q: Hi, I would like to raise my concern regarding my off-plan purchase of a 1-BR unit in Dubai. The handover should be last quarter of 2022 as per SPA, but the construction is still under 50%. Next month Sept. 2022, I will be paying my final downpayment to complete the 20%. Our original plan was to mortgage the property after paying the DP of 20%, however, it would be perhaps impossible to mortgage given the current status of the building. By Oct. 2022, I need to pay 40% (227k AED) and the remaining 40% on handover in Dec. 2022. My question is, do I have the right to terminate the contract based on the current status of the project? They called me to negotiate in their office in AUH to discuss with top management our options and the new handover date is the 3rd-4th quarter of next year (2023). My current situation is not so favorable (financially). My only option is to either mortgage the property or cancel the contract. Your advice is highly appreciated. Thank you! Regards,

Inability to handover an apartment to the buyer upon developer's delay. What to do?

Q: Dear sir/madam, I signed MOU to sell my apartment without using the DLD portal. It is vacant on transfer. I was expecting to receive my apartment from the developer but, as usual, they are behind on delivery. I decided not to sell the property as I have nowhere to go. I offered the buyer 90,000 AED compensation, but the buyer insisted on 10% which amounts to 380,000 AED. I received a 7-day notarized warning to pay 10% of the contract. To my knowledge, DLD will not accept MOU without using their portal. Will the civil court accept this type of case? Can I fight the case based under force majeure, because I use an electric wheelchair to move around (people of determination), and the new apartment when ready is too small? The notarized warning letter stated that I received a deposit check, but I did not receive it. I did not provide a deposit check either. Your opinion is highly appreciated!

Terminating an employment contract by employee before one year without fines or ban

Q: Dear sir, This question is for UAE lawyers. My employer has written in our limited contract that I cannot work in any competing business in the UAE for one year if the contract is terminated by me or him and also 1 more line that says I have to pay 3000 AED as training fees if the contract is terminated before a year of the contract (I haven`t received any training whatsoever). Is there any way I can terminate the contract before 1 year without any fines or ban? (The reason for terminating the contract is overtime for 16-hour duty with very poor living conditions). Kindly answer me!

Informing the employer about an employee's marriage upon his refusal to register it

Q: Dear sir/madam, My husband and I got our marriage solemnized in India in front of 35 people conducted by a church priest but we did not register our marriage. It is the 2nd marriage for both of us. We have a letter from the church for the marriage. My husband approached me from Dubai when I was in India and now I am also working in Dubai. We have been together since then until May 2022 in Dubai, whenever I called my husband to register our marriage, he refused. Later I found out that he has an affair with a lady in India and he even stayed with her together in a hotel for 2 days when I caught them with the Police in India. I found out recently that my husband has hidden our marriage from everyone; he has informed his company that he is single. Can I email his employer with our marriage proof, and inform them that I’m his wife, to add that to their records? I really want to do that because marrying and living with me for 7 years and spreading false information that he is not married has affected me mentally.

Q: Dear sir/madam, Can a partner of a company make an acknowledgment of debt to himself? There is a small professional license company with two partners. Each partner has the power to sign documents singly. Partner 1 gave 1 Million AED as a loan to his company from his personal account. There is no equal amount paid by Partner 2. The company bank accounts show that the company received money from Partner 1 and there is no evidence that this amount was paid back. There is an existing court verdict that states that Partner 1 gave loans to the company and partner 2 did not provide any evidence that it was paid back. Can Partner 1, in his role as partner and signatory with power to sign singly, sign an acknowledgment of debt on company letterhead in favor of himself in his personal capacity? إخراج المقاول من المشروع بسبب مخالفة الشروط وإكمال المشروع بدون مقاول

س: السلام عليكم، أنا مالك فيلا قيد الإنشاء والآن في مرحلة التشطيب. حدث خلاف بيني وبين المقاول بسبب تنفيذ بنود مخالفة للشروط والمواصفات وهذا مثبت في تقرير فني من الاستشاري وللأسف المقاول يماطل وطالت المدة. سؤالي: هل يمكنني إكمال إصلاح العيوب بنفسي ومن ثَم رفع دعوى؟ وفي حالة الإجابة بنعم، هل يجب إخراج المقاول من المشروع عن طريق البلدية أم أباشر أنا إصلاح العيوب بوجود نفس المقاول على رخصة البناء؟ مع العلم أنني استفسرت لدى البلدية وأجابوا بإمكانية استخراج شهادة إنجاز بالنزاع وإكمال المشروع بدون إضافة مقاول. أفيدوني من الناحية القانونية جزاكم الله خيرًا!

المطالبة بأرباح سنتين في شركة في دبي

Q: السلام عليكم ورحمة الله وبركاته، أنا شريك في شركة في دبي تأسست في 2020. وفق عقد التأسيس، لي نسبة أرباح 20%، ووفق عقد بين الشركاء، لي نسبة إضافية 37.5%، بإجمالي مفترض 57.5% من الأرباح. علمًا بأنني تركت هذه الأرباح لزوجتي الشريك الأساسي، ولكن تفاجأت بأنها رفعت ضدي قضية طلاق تدعي عدم النفقة عليها، وبالتالي أرغب في المطالبة بجميع أرباحي من الشركة. دخل الشركة في السنة الأولى 470 ألف درهم تقريبًا، والسنة الثانية متوسط 75 ألف شهريًا. حاليًا ليس لي مصدر دخل غير هذه الشركة ولم أتحصل منها على النصيب المذكور في عقد التأسيس ولا العقد الخاص. أرغب في توكيل محامي للحصول على نصيبي منذ تأسيس الشركة على أن تكون الأتعاب المدفوعة لسيادتكم 10% من إجمالي المبالغ التي سيتم تحصيلها لحسابي. قد يكون إجمالي الدخل حتى الآن في حدود مليون درهم، ولكن لا أعلم بالتحديد لأن زوجتي لا تسمح لي بالاطلاع على دخل الشركة، ولكن حصلت على مستندات من سجلات الضرائب. مع العلم بوجود تفاصيل بأنني أبلغت زوجتي بأنني أترك لها جميع نصيبي في رسائل وتسجيلات، ولكن لم أتنازل رسميًا عن حقوقي في الشركة أبدًا.
