Q: I am a 49% shareholder in a 10-year-old LLC Company. We have a separate Managing Director that has no shareholding in the company.
I was out of the country for an extended period of 5+ months and recently returned to the UAE. 2 weeks after my return, I discovered that salaries had not been paid to staff for the month of July.
I queried the Managing Director who was away on annual leave at the time. He told me the company was expecting money in.
I then checked with the accountant who told me the company financials were in a dire situation and updated me on receivables and payables. The Managing Director then proceeded to serve 4 weeks notice to resign.
After this, I discovered that several company cheques that he had written to suppliers had bounced and were in fact PDC's, some of which had been issued several months ago.
My questions are:
1. What recourse do we have against the MD for these liabilities?
2. What would be our best course of action to minimize shareholder liability?

Liability of a special power of attorney holder in the company

Q: Hi,
I have been given a special power of attorney by my company owner to represent the company.
However, now that the company is not performing well financially and there is some outstanding to be cleared by the company to service providers like Etisalat and a few others as well.
In such circumstance when the company is liable to pay the amount and the owner is not coming back from India due to medical reasons, what is my position in all this?

Q: The question is connected with an LLC company from Dubai. I am the only employee.
I am not sure if I can use Director titles for people not listed on the company organization chart (not employed). I need to sign an agreement with 2 signatories on our side.
The second signatory is a contractor from abroad (contracted through a Polish/European entity). Can I give him a Power Of Attorney, so based on Dubai law - can he sign documents on behalf of the LLC?
Which title can we use for him as a person which has a Power of Attorney from LLC or me: Managing Director OR Account Manager?
Can we create a power of attorney only in English? Is it mandatory to use Arabic?

How to protect my interests as a partner at the incorporation of an LLC

Q: I am a partner in an LLC company with 50% shares each. Since I am not staying in UAE I had given partner all the Power of Attorney to run the business.
I need to know if my partner defaults in any payments for license renewal or non-payment of salary.
Will I still be held responsible for his actions or since he's having all the rights he is responsible?
Kindly advise.

Q: Asalamu Alaikum,
I have a question about one partner who took over all the business and blamed the main partner of the business who started this business with his investment.
The partner lied and used a fake signature to trap him. He threatened him with jail. The main partner gave him a power of attorney in his absence.
But he needs to use it with the approval of his main partner. He has purposefully kept his company in the red for the last eight months.
We need legal assistance in this case to get out of this situation.

I work in Umm Al Quwain for a construction company. My name is on the license with 0% as the manager, and it's a sole proprietorship license.
If there is a case involving a returned cheque or a civil case against the company, will I be held responsible?
I am currently facing a travel ban, and I am employed on a salary basis with the company.

There was a bounced cheque case against me in Dubai in 2009-10. I won the case upon appeal in January 2020. I have been fighting extradition to Dubai since 2018 for the same case.
Even though, the case was won in January. Until today (December 2020), the authorities in my country of residence (Ukraine) haven't officially received the judgment from the UAE.
1.What steps can be taken to expedite this process?
2. What steps does a judgment go through before it is communicated to the country in which the extradition case is pending?
3. What is the normal time frame for this process and for the removal of the Interpol red notice against the accused?

The developer failed to rectify the numerous leakages in the apartment, what to do? 1
Good afternoon,
I have purchased a property in Al Barsha (top floor). In spite of repeated reminders, the developer failed to rectify the leakages (numerous) in my apartment.
I had also notified this during DLP (Defect liability period). Can I refer my dispute to Rental Disputes Committee in Dubai Courts, even though there is an arbitration clause in the Sale and Purchase Agreement?

I am working with Jafza company as a product development manager under a limited contract.
Today, I am giving my 30 day-notice period against my contract. My contract will end by July 2021. I heard that I need to pay 45 days' salary to the company because of contract breaching.
I would like to know:
1) If I am giving an advance 30-day notice period, then why should I pay 45 days' salary to the company?
2) Currently, am I not doing my job as per Jafza attested contract?
3) After a year, the company changed my job profile without any amendment in Jafza attested contract?

We have an agreement with a company to supply food for their buffet on a daily basis, with invoices to be issued monthly and payment to be made every three months.
The relationship actually lasted for nine months, and payment was made for two periods. In the third period, due to disagreements between our company and the company to which the supply was made, they refused to pay, noting that the outstanding amount so far is fifty-four thousand dirhams.
Can we claim the amount, noting that the agreement is not written, but there are emails exchanged between us and invoices?

I’m looking for legal advice regarding a hair salon incident that caused serious damage to my hair and scalp.
I visited a salon for a colouring treatment, during which two rounds of bleach, which is not what I booked in for, were given to me without proper approvals, and were applied back-to-back without a strand test or proper consultation.
As a result, I’ve been experiencing extreme hair breakage, daily hair loss, and ongoing scalp irritation. This has been especially distressing as I’m currently pregnant.
It’s now been over 20 days since the incident, and despite multiple polite follow-ups, the salon has ignored all communication.

What can I do if the landlord has not been responding to renew the commercial lease contract and Ejari? 0
Good day.
For the last 3 years, the landlord's office has not responded to renew the contract, so I contacted RERA for renewal.
The office doesn't respond to emails related to renewal, even though I started sending emails and reminders 2 to 3 months before expiry, and I have no choice but to contact RERA and send a notice.
Once the renewal was processed by law, the landlord's office delayed in releasing the Ejari. Since it is a commercial property, my renewals are related to a staff visa, and I have to pay delay penalties.
The landlord's office staff tried to take advantage of the Emirati owner, and no direct meeting was fruitful.
What is the law that safeguards expats and sorts out issues without mutual compromise as they try to force their terms to be acceptable by law and not supported by any documentation?

Hello,
I hope you're all doing well during this tough time.
I have a question in regards to bounced cheques, specifically corporate cheques.
I have a cheque for AED 800,000, and it has bounced. The owner of the corporate has asked for a month to pay back. However, I am worried he will leave the country and not honour his obligation.
My questions are fairly simple:
1) Am I to put a case on the individual who signed it or the corporate?
1) If I put a criminal and civil case on the corporate right now and he's unable to settle amicably, can I put a travel ban on the owner (who signed) as it is a corporate case?
2) Does the new insolvency law as of late 2019 also apply to corporates?
3) Is the owner personally liable if the company doesn't have assets or cash?
