Is the agreement of sale of an off-plan apartment considered a muqawala contract?

1
Q: Is the agreement of sale of an off-plan apartment with a real property company - considered a muqawala contract?
According to Art 872 of the UAE Civil Code:
“A muqawala is a contract whereby one of the parties thereto undertakes to make a thing or to perform work in consideration which the other party undertakes to provide”.
The Agreement with the company (or its group company) states:
5. COVENANTS OF THE VENDOR
5.1 .. the Vendor covenants to procure the construction of the Project ...
5.4 The Vendor shall remain liable for a period of ten (10) years from the date of completion of the construction of the Project ...
5.5 .. the Vendor shall deliver the Unit to the Purchaser .. constructed in accordance with the plans and specifications attached to this Agreement.
5.6 The Vendor shall construct the infrastructure of the Project including roads, lighting, walkways, and landscaping in accordance with the Vendor’s overall development plan for infrastructure.
Should the Civil Code’s articles on muqawala govern this kind of agreement?

Legitimate requests that the shareholders can ask the company for to remain informed

0
Q: An LLC company is being asked for extensive financial, board and contract documentation as the right of an unhappy minority shareholder under the UAE law.
From the Shareholders Agreement - "At all times, make available to the Shareholders and their duly authorized representatives full and complete access (including copying facilities) to the books, records, accounts, documents and premises of the Company."
The company requests clarification as to what documentation may be released under the UAE CCL and Shareholders Agreement which appears to grant shareholders access to all records.
The company has nothing to hide, however, the continual extensive requests are an unwanted distraction to the operation of the company. Has this ever been tested in the UAE law courts?
Many thanks

Ensuring supplier compliance in the UAE: Which certifications matter?

1
Q: Dear Sir/Madam,
Our company, an automobile OEM located outside the UAE, intends to develop the market in MENA.
What certifications should we pay attention to when we enter negotiations with our parts suppliers (the locations of the suppliers are not the issue) under Dubai law or UAE law in general?
The goal is to ensure that our suppliers comply with all the laws and regulations in Dubai and the UAE.
The more detailed, the better.
Thank you!

If I resign and remove myself from the trade license, am I still liable for a loan?

2
Q: Hi,
I presently share 50% of a company with my partner (not an LLC).
If my partner signs all documents for a bank loan, based on the operational instructions of the bank, is it implied that I am also responsible for this undertaking?
If I resign and remove myself from the trade license, am I still liable?

Cancellation of a property purchase and refund for over-delay in handover 0
Hello
I am contacting you from London. I have purchased a property in Dubai in a project in 2005. We purchased two apartments and today we have not received anything yet.
This construction project is still going on and the developer has changed many times. Another company now runs the project, and whenever I contact them they say it's going to be ready in the next 3-months or 6-months.
It keeps postponing work are currently at standstill. I have contacted them then and the same they're waiting for more information from the Dubai authorities.
Every time there's a different story, and we get delayed. It's now been 16 to 17 years since we have invested in this and I would like to put a stop to this now, possibly get a refund and compensation.
Could you please help me by advising me what my situation can be?
