Business investment pursuant to a POA from the owner
Q: Hi, I am working in a private company as an engineer, I want to take a cafeteria on lease agreement from the owner. The owner will make a special power of attorney in my name for 2 years for running the cafeteria. Also, he will provide me with the bank account, atm, online username...etc. My question is: 1. Do I require NOC from my company to make POA? 2. Can I access the bank account if the owner grants me the POA although my name is not in the trade license? 3. After the POA, can I be a signing authority in the bank?

Protecting your interests while taking a business on lease
Q: Hi I am taking a cafeteria for 2 years on lease. The license will be for the owner but I will run and take care of everything for 2 years including profit, salaries...etc. So how will I make the agreement? 1. Shall I go to the court for making the agreement? 2. Shall both of us make an agreement on cafeteria letterhead and sign and stamp? Will this be enough as a proof of lease? 3. Is a power of attorney from the owner to my name needed for running the cafeteria?

The right license to do business in JLT or Business Bay
Q: My company name is **** FZ LLC (registered in RAK free zone (RAKEZ)) and I am trading with foodstuffs, concentrates, ingredients, etc. Currently, I am renting an office space in Sports City. As the rent is high and the location is remote, I decided to buy an office either in JLT or Business Bay. Now I started to face an issue that I won't be able to operate in such an office, because I need to have either a DMCC license (for JLT) or Mainland LLC license (for BB). Can you please help me and advise in which areas can I purchase an office where I can operate under my current license? I really wouldn't like to change my license from RAKEZ to any other.

Non-payment of share value and claiming the shares back
My company is located in Dubai as an LLC. We have two shareholders, 1. UAE national shareholder with 95% 2. A foreign shareholder with 5% The UAE national shareholder transferred this 5% shares to the foreign shareholder through a share sales agreement, which was notarized at the notary public in Dubai and submitted it to the DED to amend the trade license etc. This happened in 2014. But till this date, the foreign shareholder did not pay the value of 5% shares to the UAE national shareholder or to the company. Also, the foreign shareholder was not actively involved with the company's operation and as per Article 17 of the Commercial Companies Law: "2. The partner may not contribute in work rendered unless he is a joint partner. The contribution of the partner may not consist of his having reputation or influence." Under these circumstances, is it possible for the UAE national shareholder to request from the court to cancel the 5% shares of the foreign shareholder and transfer back to him?

Visa cancellation as a partner and obtaining a new employment
Hi. Could I please get some advice on the following: I own a company in the UAE, It is an LLC. I am a partner and I have a local partner holding 51%. We have a separate contract that gives me all ownership. I am sponsored through my company. I would like to cancel my work visa with my own company and be sponsored by another company to work for them. My company is run and managed by employees. My question is, am I able to cancel my working visa, be employed by another company but retain ownership of my own business? I will not be taking a salary from my business. Any help regarding this matter would be appreciated. Thank you.
