Q: Dear Salah,
I was a partner in one company in which I sold my shares and left the MoA/company on 4th Jan'18.
One of the employees whom I recruited wants to leave the company now and the present owner is not cancelling him. The employee joined the company on 1st Oct'17.
But his resident visa was not stamped. Till today his resident visa has not been stamped. This employee desperately wants to leave the company. What can the employee do?
He did visit the labour court but his case was closed as the present partner promised to pay all his dues and cancel his visa in front of the labour officer.
Should the employee re-open the case? Will it have any implications for me?
What best course you advise for the employee now as he desperately wants to go home, but he wants to come back to the UAE with some other company?

Q: My partner is not cancelling his partner visa even though he sold all his shares to me five months before.
Now my company trade license renewal is stuck because he is not cancelling his visa. The sponsor is from my side only.
How can I cancel his visa without his signature?

Q: I have run a limited liability company in Dubai mainland with a 51 (Local) / 49 (Expat) ownership structure for the last 26 years.
Due to some issues, I wish to exit the company and handover it to the local partner but he is not letting me exit the company.

Q: Hello,
My cleaner's (laborer) visa is expiring in Nov 2021. I want to renew my visa with a new company. The old company which had given the visa is charging me 1000 AED for the cancellation letter. Is this legal?
If not, how can I complain and get a cancellation letter at a proper price?

How can a sleeping partner recover his benefits as an employee?

Q: Dear sir/madam,
I am a sleeping partner in a private LLC company in Dubai. I am paid a salary monthly. I am in the process of resigning from the company. However, the Indian partner is not willing to give me end-of-service benefits as per the labor contract.
He wants to reduce the benefit amount. Please note that I am authorized to operate the company bank account and can sign cheques and other documents.
How do I recover my benefits legally?

Does a managing partner need a NOC from the company to work in another company?

Q: Does a managing partner holding an investor’s visa need a NOC from the company to work in another company? What should I do?
The company didn’t operate yet, no letterhead or stamp, thus telling me they can’t provide it. Instead, they want me to cancel my visa.
What will happen if they cancel my visa? Will I still be the managing partner and still be liable for the consequences of their acts?
I'm just a managing partner by paper but I'm not the business owner. I just help them to open a business here in the UAE using my credentials.
The other partners went out of the country for a year now and didn't start the business yet here in the UAE.

One of my partners has taken a visa under the company but is working in a different company and not contributing anything.

My company is located in Dubai as an LLC. We have two shareholders,
1. UAE national shareholder with 95%
2. A foreign shareholder with 5%
The UAE national shareholder transferred this 5% shares to the foreign shareholder through a share sales agreement, which was notarized at the notary public in Dubai and submitted it to the DED to amend the trade license etc. This happened in 2014.
But till this date, the foreign shareholder did not pay the value of 5% shares to the UAE national shareholder or to the company.
Also, the foreign shareholder was not actively involved with the company's operation and as per Article 17 of the Commercial Companies Law:
"2. The partner may not contribute in work rendered unless he is a joint partner. The contribution of the partner may not consist of his having reputation or influence."
Under these circumstances, is it possible for the UAE national shareholder to request from the court to cancel the 5% shares of the foreign shareholder and transfer back to him?
