Q: Hi.
Kindly advise regarding:
(1) Closing a professional civil company (management consultancy) in Dubai with 4 partners + 1 local agent.
There are 4 partners (all family members) who are out of the UAE. 2 partners have investor visas & 2 have partner visas. 3 visas have expired during July-Sept 18 and 1 Investor visa expiring 17/11 as being out of the country for 6 months+.
Online at www.gdrfa.ae on logging in, the 3 expired visas are showing 'Inactive'. Does it mean visas are automatically cancelled & they can come on visit OR visas have to be physically cancelled at the immigration dept?
The company has no assets/liability. We want to close the company. The company's labour est card is already cancelled.
(2) Effect of a partner's personal credit cards' liability on the company as a he is a partner.
In the above company, 2 partners have credit card dues.
Is there an impact on 2 aged partners coming back to the UAE if the banks file cases & secure order on attaching the defaulting partners share in above company?
(There is no business/assets). Can the 2 partners be harassed in UAE?

Q: Hi Sir,
I am a partner and I have a partner visa in one of the courier companies in Dubai. Currently, I stay outside Dubai in a GCC country, I hold a 25% share in the company.
We are 4 partners; 2 inside Dubai and 2 outside. The company was established in 2019; it has been 1 year now and the partners in Dubai are showing a big loss.
They took a loan from some investors without our concern and they have a big credit from the customers. They utilized the customers' money.
Now, I need to get out of this mess as I was not involved and they were not sharing any updated records.
Both Dubai partners are MD in the Memo. I am afraid to come to Dubai as they have asked me to leave my share after paying the loss they have to some other investors.
I am afraid to come to Dubai to discuss as the company sponsor is in touch with them.
They can put me in trouble in order to get my share.
Please advise!

Responsibility for a rental loan of the company after issuing a cheque from the personal checkbook

Q: I am named a defendant in a RERA rental case for a commercial case. The tenancy is in the name of and signed by the local partner. The premise is used by the company in which I am one of the partners.
At the time of leaving the premise, there were arrears on rent for which I issued PDCs from my personal checkbook. They bounced as I had difficulty in keeping up with the payments. Am I liable in this RERA case as one of the defendants when I am not the signatory on the tenancy nor the responsible manager of the company?

Dividing company shares among partners while one of them refuses

Q: I am a partner in an LLC company. Due to losses, the company funds are exhausted.
In case there are dues to be given and one of the partners does not have the necessary funds, where does he stand?
In case 2 of the 3 partners would like to leave the company, what are the options?
The 3rd partner is unwilling to settle our dues which are stocks and machinery. He also does not want to pay a royalty of the company name.
The company is 30 years in the business.

How to claim a debt from a civil company after filing the execution?

Q: I won a civil court case against a civil company with a professional license (Not an LLC company). I started an execution case for AED 262,800.
One of the partners of the civil company informed me that his company will file for bankruptcy and I will not get any money at all.
He said that all the company debts will be wiped away and he will not get a jail term and he will not have to pay anything.
Article (671) of Civil Transactions Law regarding civil companies states that partners have to pay the debts of the company.
(A) Which view is legally correct? Is it possible to demand money directly from the partners of a civil company after the company is declared bankrupt?
(B) How should I protect my rights if the debtor Civil company files for bankruptcy?
(Important Question C) Will the court automatically distribute the debt of the civil company to its partners upon declaration of bankruptcy? Or do I have to start a new court case against the partners after the civil company is declared bankrupt?

How can we prevent blocking accounts and assets in a cheque execution case against our company?

Q: Greetings!!
We have a cheque execution case. The bank applied for execution to block the company account and the vehicles claiming the wrong amount. The court also approved this request and sent it to the central bank to impound the vehicle.
We had already paid over 50% of the claimed amount and also requested the balance payment in installments a couple of weeks ago once the claimed amount was amended in the court system.
The installment request is yet to be approved, however, they have proceeded with the execution. This is very concerning.
How long does it take to block the accounts?
What are the repercussions of the block?
Kindly please advise if there are any other options available to avoid blocking the accounts and impounding the vehicle.

I live in Dubai Marina, and the landlord claimed that according to new Dubai Land regulations, the chiller now has to be paid by the person occupying the apartment.
Even though my contract says that the landlord should pay the chiller, they want to implement this mid-contract.

Good afternoon!
My friend works as a cleaner for a cleaning company and she now wants to resign with a 30-day notice. However, she has not completed the two-year contract and has only served for 16 months.
Additionally, she has not taken any vacation leave. The sad part is that when she signed the offer letter, she did not receive a copy of it and only signed it.
I would be very grateful if you could let me know if she would have to pay or if her boss has the right to not accept the resignation if the notice period mentioned in the offer letter is more than a month.
Her boss has not provided her with any kind of proof that she can use in the future if anything happens.

Hello,
I represent a tech-based marketplace company registered in a Freezone, in the UAE.
This is in regards to the UAE's law regarding the ownership of code when there is no clause mentioned in the agreement. One of our products (web application) is being developed by an agency in the UAE.
While we do have agreements in place, there is no clause regarding ownership of code. In the situation mentioned above, I've heard that the ownership of code either goes to the author or the agency that employed the author. Is this true?

When I went to the free zone to cancel my visa and close the company, they have asked me to get his attested death certificate and NOC from his heirs.
The problem I am facing is his family doesn’t want to give the death certificate nor they want to give NOC. Now my resident visa validity is over and I am on fine every day.

How the objection of a client be dealt with after being notified for termination by DLD? 0
I have been notified by DLD that I am in breach of an off-plan sales agreement, and the developer wishes to terminate the agreement.
The date on the notice is March 9, 2021, and I received it from the developer on March 11, 2021. The notice says I have 30 days "from the date of being notified" to make the outstanding payment.
On the termination notice from DLD, a list of objections is present. One of the objections states that the developer must hand over the final SPA to me.
In this case, I have not received the final SPA from the developer. I made an objection in writing to the DLD pointing this fact out and sent it via email, and received a confirmation of the same from DLD by return e-mail on April 6, 2021.
30 days from March 9th is April 8th, or from March 11th is April 10th. Does the developer have to respond to my objection before the DLD will allow them to terminate the agreement?
In this case, will the time I have to make the payment be extended by any period?

We have a professional services license (2 partners) + 1 local service agent registered with DED, Dubai.
The partners wish to close the business because of unavoidable circumstances. We wish to proceed with all the necessary paperwork for cancellation.

Returning to the UAE to run business after being convicted with a crime 0
Hi,
I want some information regarding my uncle. He was arrested in November 2015 and was in prison until 13 June 2016 when he was deported to Pakistan.
The reason for the arrest was that my uncle had his own business in Sharjah and he was involved in a case where his employee accused him of attacking him and other allegations. He was arrested and convicted.
He needs to reenter the country as he has his business in Sharjah but I believe he is blacklisted/banned. How can I find out if he is blacklisted/banned and how can it be removed to allow my uncle to reenter the country and take over his business?
Is there any way of helping to resolve this issue?
I know that if he enters on a visa, he could be arrested at the airport, and don’t want that to happen.
