Changing the legal structure of an LLC to full foreign ownership

Hello.

We have an LLC company where 49% is owned by an overseas company and 51% owned by a local partner.

We are not doing any transaction with this company and hence would like to make a representative company with an overseas company owning 100% of the shares.

Can we change an existing LLC in Dubai to a fully-owned entity limited only for marketing activities?

As per your query, these are the following possibilities.

First of all, there are two aspects to it:

1. Company Restructuring

2. Fully owned for marketing activities

In order to have marketing activities, it is preferably to be in the mainland and which should be a fully-owned entity, for which you can convert the company into FDI.

If you want to set up in the free zone as a branch then the company can be set up only with specific marketing activities and in free zones like Dubai Media City...etc., and you can promote inland through local sponsorship, unlike LLC.

If there is a budget constraint, then the recommendation is to set up a branch office in the mainland with local sponsorship other than LLC.

Fully owned entity for foreign companies is only possible through FDI conversion for mainland companies.
