Q: I am in the process of setting up an LLC for tailoring shop. Is there a standard MoA in place or can I make amendments to it?
If tomorrow I have a conflict with my partner and want to change him, what is the recourse and what kind of timelines and cost am I looking at?
What are the things I should get included in the MoA to protect my investment and allow me the flexibility to change a partner with minimum damages?

The eligibility of a 19 year-old person to sign an MOU
5
Q: Hello,
I am 19 years old. I have tried to sell my apartment in Dubai. I and my mother have signed MOU. But no one had the right to sell the apartment.
Only my grandfather can sell it because he is a guardian. In Trakhees office, they didn't allow me to sell. Now the buyer wants 116.5k AED from me because I didn't finish in time. I can't pay. Is the MOU invalid because my grandfather didn't sign it?

Is the property seller liable to pay penalty for not fulfilling the obligations of MoU?

4
Q: Hello,
We have signed an MOU in Dubai to purchase a property. The property is under 3 names (Mother, and her two sons, both minors).
The MOU has been signed by the mother 3 times (as co-owner, and then as a legal guardian of her two kids).
She then went to court to ask the judge for authorization to proceed with the sale for her kids. Should this have been done prior to signing the MOU?
The case has been rejected by the judge since there was no specific clause/condition in the MOU for obtaining approval from the judge.
Is the seller, at least the mother, liable for the penalty of not being able to complete the transfer due to her own actions as stipulated in the MOU (10%)?
Thanks a lot.

Can you enter Dubai if you leave a GCC country with possible civil and criminal cases? 0
Hi Hayyan,
In 2014 I had been to Qatar on a "Work-Business" visa valid for 30 days. Before my visa expiration, I fled from Qatar back to India without informing the sponsor or office management.
After I returned to India, I received an email from HR stating that the Qatari sponsor has filed an absconding case, a civil case, and a criminal case against me with the Ministry of Interior in Qatar.
Now my question is, can I travel to Dubai on a work visa?
Will there be any issue entering Dubai assuming that the Qatari sponsor has filed the said cases against me?
Awaiting your response,
H.

Drafting an agreement between an auto service marketplace and service providers 2
Hi Mohammed,
We are a tech startup creating an auto service and repair marketplace. As a marketplace, we only facilitate listing and booking the services while the service providers (the workshops) are the service providers and are responsible to deliver and carry the selected/booked job.
We need to draft a marketplace supplier/service provider agreement between us and the workshops outlining the responsibilities and liabilities of both sides. I would like to work with a law firm that has previous experience in drafting such marketplace-related agreements.
Is this something you can work on and have previous experience in?

How can a helper transfer from a private employer to an agency after 6 months? 0
Hello,
There is a helper that I would like to employ through an agency, but this helper is currently under a private contract with an employer. She has been under this contract for 6 months.
How would she be able to leave that job and come work for me under an agency?
Would she need to pay back any visa costs?
Legal advice would be much appreciated.

A hair salon caused serious damage to my hair and scalp. What can I do to sue them? 0
I’m looking for legal advice regarding a hair salon incident that caused serious damage to my hair and scalp.
I visited a salon for a colouring treatment, during which two rounds of bleach, which is not what I booked in for, were given to me without proper approvals, and were applied back-to-back without a strand test or proper consultation.
As a result, I’ve been experiencing extreme hair breakage, daily hair loss, and ongoing scalp irritation. This has been especially distressing as I’m currently pregnant.
It’s now been over 20 days since the incident, and despite multiple polite follow-ups, the salon has ignored all communication.
I’m now exploring legal action to pursue compensation for the physical and emotional distress caused. I have full documentation, messages, and photos.
Any guidance on the best next steps or legal routes I can take would be greatly appreciated.
Thank you in advance.

Cleaner's resignation with 30-day notice in incomplete contract 7
Hello,
Good afternoon!
My friend works as a cleaner for a cleaning company and she now wants to resign with a 30-day notice. However, she has not completed the two-year contract and has only served for 16 months.
Additionally, she has not taken any vacation leave. The sad part is that when she signed the offer letter, she did not receive a copy of it and only signed it.
I would be very grateful if you could let me know if she would have to pay or if her boss has the right to not accept the resignation if the notice period mentioned in the offer letter is more than a month.
Her boss has not provided her with any kind of proof that she can use in the future if anything happens.

Non-payment of share value and claiming the shares back 1
My company is located in Dubai as an LLC. We have two shareholders,
1. UAE national shareholder with 95%
2. A foreign shareholder with 5%
The UAE national shareholder transferred this 5% shares to the foreign shareholder through a share sales agreement, which was notarized at the notary public in Dubai and submitted it to the DED to amend the trade license etc. This happened in 2014.
But till this date, the foreign shareholder did not pay the value of 5% shares to the UAE national shareholder or to the company.
Also, the foreign shareholder was not actively involved with the company's operation and as per Article 17 of the Commercial Companies Law:
"2. The partner may not contribute in work rendered unless he is a joint partner. The contribution of the partner may not consist of his having reputation or influence."
Under these circumstances, is it possible for the UAE national shareholder to request from the court to cancel the 5% shares of the foreign shareholder and transfer back to him?
