My name is P.
I'm about to open up a company here in the UAE. However, we under the sponsorship of an Emirati.
We agreed that he would give the power of attorney under the court to manage everything including bank account, bank cheques.
I need advise on how best we can come with an internal agreement.

I own a business in Abu Dhabi (a sole establishment) where I am the 100% shareholder as per trade license. The name of the Local Service Agent also appears on the Trade License as a Sponsor. The Local Service Agent is not an Owner, Partner or Manager.
While opening a business account, the bank asked me for the passport copy and Emirates ID of the Local Service Agent, is that mandatory? As the Local Service Agent is not an owner nor a partner or a manager, why the bank cannot open a business account with just my personal details?
A notarized Local Service Agent agreement was provided to the bank but they still insist on getting his passport and Emirates ID copies.

Q: Hi,
I'm starting a food import company in mainland UAE where my Emirati partner (a close friend) will have 20% and I will have 80%.
We're gonna take care of the company creation in DED and trade license application.
At which stage are we supposed to draft the ''side agreement'' and sign the power of attorney?
Can we create a company where I will have 49% of the shares and register it with DED and then draft the side agreement (80% - 20%) and power of attorney in a second step?

Is it possible to amend an MoA after the LLC incorporation to reduce local sponsor's shares and % profit distribution?
Is there any minimum amount for the local sponsor on shares to be held and % profit distribution?

Q: Is a side agreement considered a valid enough document to protect my company?
I own a car rental company and, by law, I was told it has to be an LLC, so I brought a partner who is really a nice guy.
I want to protect my business as I am the full owner and all the assets are mine; including the luxury cars, etc.
I only give the sponsor a fee yearly. I’m worried if something ever happened to my sponsor, God forbids, what will happen?
Can any of his family try to take his share even though the 100% company is funded and run by me but his share is 51% on papers only?
Is the side agreement valid?
Is there anything I can do to protect my whole 100%?
Are there any documents I can make or use?

Signing an agreement to confirm investment until the company license is issued

Q: Dear Sir/Madam,
I'm in the process of setting up a company, and I have an investor who will fund it. Until the company is officially formed, can I sign an agreement between myself and him as individuals to confirm his investment?
This agreement would later be replaced (rendered void) by another one between the company and the investor once the license is issued.
If this is possible, what is the correct format for such an agreement?

Dear Lawyers,
I signed a Form F with a buyer for the sale of my house as we were planning to leave the country. The contract was signed about a month ago, but the handover is not until August.
Due to personal circumstances changing, we are no longer leaving Dubai and would like to cancel Form F.
The Form F contract stipulates that we have to pay the buyer 10% of the purchase value. The real estate agent is now claiming that we also have to pay the buyer's real estate commission and the conveyancing fee.
Our understanding is that the 10% penalty is the only penalty. Which is correct, and what are the next steps to dispute this?
Also, is there any way to dispute the 10% itself under the law due to personal circumstances changing?

Tenant always late with payments, hasn't renewed contract. What to do? 2
Hello,
I have a tenant who is always late with their payment. Their renewal was supposed to be last December 2023.
Currently, they have not signed any new contract, provided any new cheques, and have stayed for three months from December until now without paying rent.
Additionally, I just discovered that they have sublet the apartment with partitions, which is clearly stated as not allowed in the old contract.
Please let me know what should I do legally!

Tenant received renewal notice, rejected proposed rent on renewal day. What next? 2
Hi,
We sent a renewal notice to our Dubai-based tenant 84 days before his contract renewal, with a 10% increase in rent.
The tenant neither agreed nor disagreed with the proposed rent and replied on the day of renewal that he wouldn't be paying the proposed rent.
Due to the argument, the landlord decided to reduce the rent, but the tenant has not yet renewed his contract. It has been 12 days since his contract expired.
Kindly suggest what could be done in this matter.

I have bought three apartments in a project and the delivery date was in 2018. I have paid 100% and nothing is pending.
The builders informed me that the delivery will be in July 2019 but now they are saying the end of Dec for one apartment and the rest in 2020.
If I want to withdraw and cancel the contract, can I get the complete refund and will I receive the interest too?

Filing a case against the developer for cancellation of project 2
I bought a property in a project and paid the full amount to the developer directly, not in the escrow account.
The property was not complete as promised and it was cancelled by the Land Dept last year.
We reached the Land Dept to make a complaint then we came to know it's not registered under my name.
Please help me to process it and get my money back. I made a complaint in Dubai Courts too but no update.
