Q: Hi, I run a trading company and we have 2 partners. My name is also in the license as a partner. 1. If the other partner ran away from the company with money, will I be responsible for the supplier payments & other dues if anything remains on the company because I am the other partner? Will I face legal action if they file a complaint? 2. If the other partner is signing the cheque on behalf of the company, and the cheque bounces for no money, will I be responsible for that because I am also a partner? Can they put a cheque bounce case for me although I didn't sign the cheque?

There are dues with a bank in the UAE and his partner who was also a signatory on the cheques has managed to remove his cases and has left my father to deal with the liabilities albeit he was the one who misused the company funds. Q: My partner has been out of UAE for more than 6 months since October 18-2019. We both have dual signatories on the cheque for the LLC. Now he is threatening that unless he is paid money, he will not leave the company. All the cheques I have are over and the situation has jeopardized my business and I cannot do anything here. He has put us in a difficult situation and does not agree to sign cheques. Please tell me what solution I have as I am in the verge of collapse.

Q: Dear Respected, I have a travel ban on me and a case raised in Dubai Courts against the company. The reason is the company owner asked me to sign a cheque to a service provider and the cheque bounced. I'm not a shareholder in the license. I'm not a partner in the license or elsewhere. I'm not a manager in the license or elsewhere. I only hold a POA from the owner to assist him in opening a bank account while he was abroad and be the authorized signatory in the bank. Q: Dear Sir/Madam, Effect of company manager issuing company check that bounces My civil company has two partners. Each partner is also the manager. The company took a loan of 260,000 AED from a friend. I want to return the loan but my other partner does not want to pay. What will happen if I issue cheques from the company account, they bounce, and the other party starts a cheque enforcement case against the company? Then each partner will pay the debt in the ratio of their shares. Will I be jailed or have to pay a fine due to signing a company cheque that bounced? My alternate method is to issue an acknowledgment and the creditor does Amr al Arida "performance order" case, but I want to reduce court costs.

The UAE Penal Code, like all other laws, addresses the crime of fraud in Article 399 of the UAE Federal Penal Code, which stipulates that whoever seizes, for himself or another, a movable property, or obtains a document or signature thereon, cancellation or destruction thereof or amendment thereto by fraudulent means, or by assuming a false name or capacity, where such an act leads to deception of a victim and leads him to surrender shall be punished by imprisonment or fine.

The provisions of this Law apply to the commercial companies established in the UAE and the foreign companies that have established in the UAE a base to conduct any activity therein or established a branch or representative office. The Law abrogates Federal Law No. (8) of 1984 Concerning Commercial Companies.

This Law applies to merchants, as well as to all acts of commerce carried out in the UAE by any person even though he be not a trader. Commercial matters regarding which specific Federal laws are issued shall be subject to the provisions of such laws, and to the provisions hereof which do not contradict with said laws.

The provisions of this Decree by Law amend the Federal Law No. (18) of 1993 by replacing Clause (4) of Article (379) as well as Articles (600), (617), (641), (642), (643), (644), and adding new articles numbered (635) Bis, (641) Bis (1), (641) Bis (2), (641) Bis (3), (641) Bis (4), (643) Bis (1), (643) Bis (2), (644) Bis (1) and (644) Bis (2). The Decree-Law also repeals Articles (401), (402) and (403) of the Federal Law No. (3) of 1987.
