Q: My husband was awarded shares in the company he works for. Now he is leaving and wants to sell them and the company refuses to acknowledge the fact that he holds shares even though it clearly states that he does in the 'Articles of Association'.
What advice can you give to us? Thanks.

Q: Do the local sponsors have financial responsibility for bounced cheques from the company that they are sponsored?
If I got cheques but they were bounced and the person who signed the cheques (managing director) left the country. Company is in labor zone, retail, 2 operating shops.

Liability for bounced cheques in case of joint signatory authority

Q: I was a partner in a company with joint signing authority for the bank account. I sold my share and the memorandum of association changed. However, due to some reasons or busy schedule, I could not change my signing authority from the bank.
My partner issued me a letter that for all released cheques, he will be responsible. Now, in the current situation, some cheques are bounced and police called me.
Please advise, what should I do? Will this letter and change in memorandum protect me?
My partner is still accepting his liabilities for all bounced cheques but he has no money to settle, and I am stuck. Kindly advise.

Q: A person has filed a case for returning the cheque amount issued to me 2 years back.

Q: We have a partnership owned LLC company in Dubai - 60% shareholder in Qatar, 20% me & 20% another sleeping partner (we both are signatories in Dubai).
Recently, the sleeping partner holding the same share 20% has accused me of fraud in the company. He stopped my monthly remuneration and asked me to give away my phone and car.
Now, he went to telecom and complained about a missing SIM, the number I have been using for more than 5 years.
I have been a working partner for more than 12 years, and now I am suddenly sitting in my office forcefully.
How can this be stopped legally?

How to close an LLC company while one of the partners is missing?

Q: Dear Sir,
We would like to wind up our business. It is an LLC company based in Sharjah, UAE. One of our partners is missing and we are unable to trace out her.
There are 3 partners excluding the UAE national sponsor. Me, my wife & one more lady. She was always a sleeping partner as I am the managing director & authorized signatory.
Now since we are unable to run the business profitably, we would like to close down the business. The trade license expires in May 2020 and we don’t want to renew it anymore.
We have no financial obligations to anyone at the moment. We have given 30 days notice to our employees.
Kindly advise us to proceed further!

Q: Dear Sir/ Madam,
I am a partner in an LLC Company in Dubai, UAE. My other expatriate partner has gone to India by giving power of attorney to her friend.
Currently, the business is at a standstill and all business-related documents have been kept locked in their house in Sharjah which I am not able to use.
My questions are as below:
1. For how many years is the special power of attorney valid?
2. How can I claim the business documents? (Should I contact the Police).
3. Is the power of attorney valid after the death of the expatriate partner?
4. Will the debts of the old company where I am a partner affect the new company which I register in Dubai?

Can a company director transfer company assets without the consent of partners?

Q: Need an opinion letter regarding what are the legal rights of a 50% shareholder of a UAE company, who isn't a director.
For example, can the director transfer assets out of the company without the consent of the 50% shareholder, or without having received a POA from him?

Hello,
My employer fired me under Article 44 for not showing up for work for 7 days in a row. But that’s not the case at all. I was sick and the management was aware and they let me go.
I went to another country to get treatment because it’s expensive in Dubai. My employer did not pay me my salary for the month I worked and fired me.
I have official sick leave from another country and there is correspondence where my employer sent me to another country for treatment.
The problem is that the employer says that he will take compensation for the training that was specified in the contract, but I did not undergo training at all; I immediately started work from the first day of work and there was no training.
Does my employer have the right to charge me such a fee and not pay my salary?

How to cancel the MoU to buy an apartment with the broker if the bank did not approve the loan? 0
Hi,
I have a situation where I signed an MoU and gave my security deposit to the seller's agent. However later, the bank valuation of the property is lower than the selling price.
On my MoU, it has a clause that “the buyer has a right to cancel/negotiate if the bank valuation is not the same as MoU.” I tried to negotiate, however, we didn't agree on the price so I asked to cancel.
Now the agent is threatening me that they will not cancel the MoU and that will deposit my cheque. Later I also came to know that the person I am dealing with is not the same person whose name is mentioned as a broker in the MoU.
The agent I am dealing with is constantly messaging me with threats. I decided not to speak to him and instead, I wrote an email to the broker whose name is mentioned on the MoU but received no response.
I am on a very tight timeline as I need to vacate my apartment in 3 weeks, I found another unit but I don't know if I can pursue this while the initial MoU still not canceled.
Please, I need advice.
