Q: Dear Lawyers, Can a partner in an LLC company (Dubai Mainland) sell their shares to a third party without the consent of the other partners? If one partner wants to exit the company and the other shareholders are neither responding to this request nor giving permission, what is the way forward? We have sent an email to the other shareholders notifying them of the intention to sell the shares, but there has been no response. Please advise. Please advise!

Is the RERA rental index calculator applicable to hotel apartments?
Q: Dear All, I currently have an annual rent contract with a hotel apartment in Al Barsha, Dubai. I have a separate Ejari and pay my unit`s DEWA bills. My current yearly rent is the same as the rent advertised for new units in the same building. However, my contract renewal is due in three months, and the building management has informed me that a 10% increase in rent will be applied if I wish to renew. According to the RERA rental index calculator for the Al Barsha area, my current annual rent is already higher than the average rent, so no increase in rent is permissible. The building management has stated that they don`t fall under the RERA rental index because they`re hotel apartments. I wish to verify whether they fall under RERA rent index guidelines or not. Please advise. I am willing to open a rental dispute case and seek legal help, but I need to check if it will be valid. Thank you!

A tenant agreed via email to vacate but later declined. What to do as the new landlord?
Q: Dear Lawyers, The former owner of a unit sent an email to the tenant stating he wouldn`t renew the contract as the unit was being sold. The tenant acknowledged the email and agreed to vacate the property at the end of the contract, so no eviction notice was issued. Now, the property has been sold. The tenant has been reminded about the email exchange but no longer acknowledges it and refuses to leave, claiming it has nothing to do with the new owner. Does the new owner have a claim if they go to the RDC to evict the tenant? Will the email exchange hold in court?2024/07/24

The applicability of the existing contract between the previous owner and tenant to the new owner
Q: Hello, I am buying an apartment to live in. The only problem is that the apartment is currently rented, and the tenant`s contract will end at the end of November. We talked with her, and she is willing to leave earlier. The real estate agent just sent me the contract between the current owner and her, which states that: "The landlord has to submit 60 days` written notice prior to the end of the contract to the tenant to inform them of any changes in the rent or terms and conditions (including vacating notice) of the tenancy contract." So, if I buy this apartment, will the rules stated in the contract between them apply to me as well? In the draft of Contract F, we also wrote that upon the completion of the transfer, the seller undertakes to send a notice directly to the tenant, in accordance with Clause 4.3 of the tenancy agreement, providing a minimum of 60 days` notice. Per Clause 4.3, the tenant is expected to agree to vacate the unit. Could this be enough? Thank you!+4

How can I get a deposit refund after the seller refused to fix a faulty used car?
Q: Dear Lawyers, I agreed with a seller to buy a used car for which I paid a deposit, but the car failed an RTA inspection. The seller refused to fix the car and refund the money. After going back and forth, I agreed to pay part of the cost (300 Dhs) to save my deposit. We tried to transfer the car, but the office was closed, so it wasn`t done while I paid the balance amount as well. I took the car for a drive, and it became clear that the seller was lying. The car overheated after just 15 minutes. I immediately called him and paid for recovery to take the car to a garage of his choice. The mechanic said that either the head gasket is blown or the engine needs a replacement. I asked for a refund, but he refused. We went to the police station, where they tried to reason with him, but he refused to listen to them as well. The police eventually told me to file a case to claim my refund. I have proof of all the bank transfers and WhatsApp chats to back my claim.+1

What to do if my painting is copied and displayed in public without my permission?
Q: Dear Sir/Madam, I recently discovered that one of my paintings has been copied and displayed for 2 years in a public space/establishment in Abu Dhabi. I created the painting in 2018 for the celebration of the Year of Zayed. I noticed it last Sunday when I passed by the establishment. I tried to communicate with the project manager through a call and WhatsApp, but he didn`t answer. He replied once saying he would check, but never got back to me. I also tried to email the company but didn`t receive any response. I exhibited the painting in the same year, and I still have it with me. I never agreed to anyone using my painting or waived my rights to it. Now, my question is: do you think this is a form of plagiarism? Can you give me advice? As an artist, I feel this is not right.

How to sue the PoA holder of a real estate company for failing to pay rents to the owner?
Q: Hello, I am trying to get help in a complicated situation to assist my father-in-law on a few matters. Please note that some of my dates/years may not be accurate, however, I can get the exact dates if we plan to proceed with the legal case 1. My father-in-law purchased an apartment around 2014 in Dubai but he had never visited. He had given POA to an individual who worked for XYZ company. For the first couple of years, he received rent. 2. This individual stopped paying his rent for the past 3-4 years. He changed companies and we found the new company he was employed with. We were not able to pull the detailed Ejari records, however, we were able to see how much he had rented it for. 3. The developer bills were unpaid and some DEWA balances as well. 4. My FIL visited in May 2023 and paid all the pending bills. Can we hold the company that created Ejari and employed this individual accountable since the POA cannot be valid for so many years and also no one authorized the company? أسئلة وأجوبة
