س: لقد اشتريت شركة من شخص ما وتحملت مسؤولية سداد قرضه الشخصي ولكن عندما أدركت أن هناك الكثير من المسؤوليات الأخرى مثل شيكات الشركة، طلبت من المالك القديم إعادة أموالي. لقد وافق على دفع النصف وطلب مني بيع الشركة باسم شخص آخر. وافق الشخص الثالث الذي أخذ الشركة مني على أنه سيتحمل مسؤولية سداد القرض الشخصي ولكن بعد شراء الشركة، لم يتواصل مع البنك لتغيير اسم الموقّع على الشيكات وهرب لأن الحساب المصرفي للشركة لا يزال باسمي (حسب السجل المصرفي) ولكن من الناحية القانونية، إن الشركة ليست باسمي على الإطلاق. لتجنب المشاكل واصلت دفع القسط الشهري الذي يزيد على 6,500 درهم إماراتي مباشرةً بالاستناد إلى رقم اتفاقية القرض. لقد أغلقت المحكمة الحساب المصرفي للشركة السابقة وأبلغت البنك بخصم أكثر من 320 ألف درهم في حالة إيداع المبلغ من مصادر أخرى في هذا الحساب. سؤالي هو؛ هل يجب عليّ استكمال دفع القرض؟ إذا كانت الإجابة بنعم، بعد سداد القرض بالكامل، هل يمكنني إغلاق الحساب بعد تقديم عقد تأسيس الشركة الجديد؟

Q: Greetings!! We have a cheque execution case. The bank applied for execution to block the company account and the vehicles claiming the wrong amount. The court also approved this request and sent it to the central bank to impound the vehicle. We had already paid over 50% of the claimed amount and also requested the balance payment in installments a couple of weeks ago once the claimed amount was amended in the court system. The installment request is yet to be approved, however, they have proceeded with the execution. This is very concerning. How long does it take to block the accounts? What are the repercussions of the block? Kindly please advise if there are any other options available to avoid blocking the accounts and impounding the vehicle. Thank you

Q: I had a cheque case against my company. I got the first judgment to close the file, but the plaintiff filed an appeal. The court has blocked my company, and I couldn't renew it. The company has 40 employees, and my visa is also on the company. Now, because of the court case, I can't renew the employee's visa, my visa, or my trade license. What do I have to do?

The judgment was in my absence, as notices were sent to the wrong address. I was sent to jail. I made a down payment, bailed, and paid some more amount as installments. The total paid amount is AED 65000. Now, again, an arrest warrant is issued as I did not pay the remaining 335,000 of the claim. According to me, I had to pay only this amount because the executioner made a wrong claim, not as per the genuine claim. So I want to reopen the case file. I want the court to reinvestigate and start the case from scratch. 1) How can I make that request? 2) What documents are required? 3) Chances of reopening of case? 4) Cancellation of arrest warrant Please guide me in detail, as I will do everything myself, as I cannot afford a lawyer right now.

The provisions of this Law apply to the commercial companies established in the UAE and the foreign companies that have established in the UAE a base to conduct any activity therein or established a branch or representative office. The Law abrogates Federal Law No. (8) of 1984 Concerning Commercial Companies.

The provisions of this Decree by Law amend the Federal Law No. (18) of 1993 by replacing Clause (4) of Article (379) as well as Articles (600), (617), (641), (642), (643), (644), and adding new articles numbered (635) Bis, (641) Bis (1), (641) Bis (2), (641) Bis (3), (641) Bis (4), (643) Bis (1), (643) Bis (2), (644) Bis (1) and (644) Bis (2). The Decree-Law also repeals Articles (401), (402) and (403) of the Federal Law No. (3) of 1987.

This Law applies to merchants, as well as to all acts of commerce carried out in the UAE by any person even though he be not a trader. Commercial matters regarding which specific Federal laws are issued shall be subject to the provisions of such laws, and to the provisions hereof which do not contradict with said laws.
