Hello sir, Is it obligatory to issue an invoice for my customer to process his down payment? Our system doesn't allow us to issue an invoice unless the goods exist in our inventory. We also require this advance or down payment as confirmation of his order. My customer is insisting on issuing him an invoice and says that this is required by UAE laws.

Good morning, I have two kids. Their father is in critical care and is not able to communicate, and we have been divorced for more than seven years. The other side of the family is not communicating with the kids about the father's whereabouts for them to visit him, and they have not been in touch with the kids for the past two weeks due to family issues that took place in court regarding guardianship of the kids. My family and I had an accident. The incident occurred the very next day of their arrival in the UAE on a residence entry permit and their visa//health insurance was still in process. With gods grace, everyone was discharged from the hospital on the 3rd day after many tests and keeping us under observation. We were slapped with a hefty bill as my family was not holding any health insurance. What are the chances that I could claim the medical expenses through the vehicle insurance, as it covers co-passengers as well?

تقع شركتي في دبي وهي شركة ذات مسؤولية محدودة. لدينا اثنين من المساهمين، 1. مساهم وطني إماراتي بنسبة 95٪ 2. مساهم أجنبي بنسبة 5 ٪ قام المساهم الوطني في دولة الإمارات بتحويل نسبة 5٪ من الأسهم إلى المساهم الأجنبي من خلال اتفاقية مبيعات أسهم، والتي تم توثيقها لدى كاتب العدل في دبي وقدمها إلى دائرة التنمية الاقتصادية لتعديل الرخصة التجارية إلخ. حدث هذا في عام 2014. لكن حتى هذا التاريخ، لم يدفع المساهم الأجنبي قيمة 5٪ من الأسهم للمساهم الإماراتي أو للشركة. كما أن المساهم الأجنبي لم يشارك بنشاط في تشغيل الشركة ووفقاً للمادة 17 من قانون الشركات التجارية: "2- لا يجوز أن تكون حصة الشريك عملًا إلا إذا كان الشريك متضامنًا، ولا يجوز أن تكون حصة الشريك ما يتمتع به من سمعة أو نفوذ." في ظل هذه الظروف، هل يمكن للمساهم الوطني الإماراتي أن يطلب من المحكمة إلغاء أسهم المساهم الأجنبي البالغة 5% وإعادة نقلها إليه؟
