I hired an agency to close my free zone company but failed to do so. What can I do?

I hired an agency to close my free zone company in October last year and paid them already.

However, I have now been informed by the FDA that the company has not been closed, and I am required to upload a renewed license (which I do not have), otherwise, I will face a penalty.

The agency I hired is not responding to my messages.

What can I do?

Hello,

File a complaint with the Dubai Economy and Tourism (DET) – Commercial Compliance & Consumer Protection (CCCP) if the agency operates in Dubai.

Send a formal legal notice to the agency, demanding action or a refund of the amount. If they are not replying to the legal notice, you can file a police complaint for fraud or breach of trust.

In your case, since the agency failed to complete the closure of your company in the free zone despite paying them and has refused to respond to your messages, you have several legal options to rectify the situation:

Contact the supervising authority in the free zone: You can contact the authorities responsible for the free zone (such as the Department of Economic Development or the entity managing the free zone), as they can provide support in this type of case.

You can inform them that you contracted with a closing agency but the procedures were not fully implemented. Request clarification on your legal status, and clarify whether the company was properly closed.

Legal Action Against the Agency: Since you paid for company closing services, and the agency was supposed to perform this task but failed to do so, the agency may be legally liable for its failure to fulfill its obligations.

You can go to a competent court (such as the Commercial Court or the Contracts Court in the free zone) and file a lawsuit against the agency to recover your money or demand enforcement of the contract.

Dear Sir/Madam,

Thank you for bringing this concerning matter to our attention.

Your situation regarding the incomplete closure of your Free Zone Company and the unresponsiveness of the hired agency is indeed serious.

Please allow me to provide some professional guidance on how to proceed:

1. Immediate Action:

Contact the Free Zone Authority (FDA) directly to explain your situation. Request a temporary grace period to resolve the issue and avoid penalties.

Submit this request in writing, detailing your efforts to close the company through the agency.

2. Documentation:

Compile all relevant documents, including:

- Your agreement with the agency

- Proof of payment for their services

- All communication records with the agency

- Any documentation provided by the FDA regarding your company's status

3. Agency Follow-up:

Send a formal written notice to the agency, demanding immediate action on your company closure. Inform them of potential legal consequences if they fail to respond or complete the agreed-upon services.

4. Legal Recourse:

If the agency remains unresponsive, consider filing a complaint with the Dubai Department of Economic Development (DED) or seeking legal counsel to explore your options for recovering fees and damages.

5. Company Closure Process:

If necessary, initiate the closure process yourself or engage another reputable agency. This typically involves:

- Obtaining necessary clearances

- Settling any outstanding liabilities

- Cancelling visas and licenses

- Submitting final closure documents to the FDA

6. Penalty Mitigation:

Engage with the FDA to explain the circumstances and request leniency regarding any potential penalties. Provide evidence of your good-faith efforts to close the company through the hired agency.

Please note that time is of the essence in resolving this matter to minimize potential financial and legal repercussions. Please don't hesitate to ask if you require further clarification or assistance.

Yours sincerely,

ABDUL WAHIED

Collect all receipts, contracts, emails, and any other communication you had with the agency. This documentation is crucial for proving you paid them for the closure service.

Send a formal, written demand (email and registered mail if possible) to the agency, clearly stating:

- The date you hired them for the company closure,

- The amount you paid, The FDA's notification that the company is still active,

- The potential penalties you face,

- A clear deadline for them to complete the closure process and provide proof of completion.

It will be better if you can serve it through the court. We will let you know the procedures in detail.

Kindly share your WhatsApp number to discuss this further.

Dear Questioner,

Thank you for reaching out. Based on your situation, here are the next steps to resolve the issue:

Review the Agreement: Check your contract with the agency to confirm their obligation to close your Free Zone company. If they have failed to perform, you may have grounds for a breach of contract claim.

Formal Communication with the agency: Send a formal letter or email to the agency, requesting they immediately close the company and resolve the issue. Keep records of all communications.

Contact the Free Zone Authority (FDA): Contact the FDA to explain the situation and inquire about any grace period for the penalty. Provide documentation of your agreement with the agency.

Direct Company Closure: If the agency does not respond, you may need to proceed with the closure directly with the FDA.

Please let me know if you'd like assistance with any of these steps.

Best regards,

Mohammed Salah
