Q: Hello I’m a business partner who just decided to exit the partnership with three more partners. It’s a recruitment agency. I want to know what is the best right way of getting my share from the business in terms of the company’s valuation and current billing.

Q: I wish to part ways with my business partner in a free company in Dubai. The business is profitable. There is no breach of law. We just do work together and I want to offer my partner an exit from the LLC. I am the appointed business director. I manage the business personally. On grounds of incompetence and personal differences, I wish to offer her a sum and get the partnership solved. What are my options and how does one evaluate the share to be dissolved fairly. Like is there a formula such as a multiple of net profits to be offered? Thank you!

Q: We have invested 20% as a partnership 20 years ago but on a mutual understanding basis, with no legal document. Now our partner wants us to move out and he will bring another partner. He agreed to pay a certain amount. He is asking for a written agreement that unless we are paid the full amount agreed, we shall not leave the company. My question is: Will this lead to any discrepancies?

س: السلام عليكم، أنا شريك ومدير في شركة ذات مسؤولية محدودة وأريد التخارج من الشركة وبيع حصتي فيها أو التنازل عنها. قدمت إخطارًا للشريك أنني أريد الخروج من الشركة بناءً على المادة رقم 80 من القانون الاتحادي رقم 2 بشأن الشركات التجارية والذي ينص على أنه: "إذا أراد الشريك الخروج بالبيع أو بالتنازل، يجب عليه إخطار الشريك عن طريق المدير، وإذا لم يطلب حقة بالاسترداد خلال مدة 30 يومًا، يكون الشريك حرًا بالتصرف". قدمت الإخطار ومضى عليه أكثر من 4 أشهر. السؤال: ما الخطوة القادمة لكي أستطيع إتمام عملية البيع؟ أين يمكنني الذهاب لإتمام البيع أو التنازل؟ وما الإجراءات التي يمكنني اتخاذها؟ أريد نصيحة منكم.

الإخطار أو الإنذار القانوني هو إجراء قانوني يتم اتخاذه من قبل شخص أو منشأة أو كيان يدعى (المنذر- المخطر) بناء على نص قانوني أو اتفاق عقدي موجه إلى شخص آخر يدعى (المنذر إليه - المخطر اليه) لإبلاغه او إخطاره أو تحذيره باتخاذ إجراء قانوني معين أو تقديم شكوى قضائية ضده في حال لم يتم تنفيذ ما تضمنه الإنذار القانوني خلال المدة الزمنية المحددة به.

The provisions of this Law apply to the commercial companies established in the UAE and the foreign companies that have established in the UAE a base to conduct any activity therein or established a branch or representative office. The Law abrogates Federal Law No. (8) of 1984 Concerning Commercial Companies.
