هل يجوز لمساهم في شركة إقراض الشركة أموالاً بفائدة؟

هل يجوز قانونًا لمساهم في شركة إقراض الشركة، ويتوقع دفع فائدة من الشركة؟

إذا لم تكن "فائدة"، فهل يمكن أن يكون هناك مبلغ ثابت متفق عليه تدفعه الشركة للمساهم خصيصًا لتقديم هذا "القرض" قصير الأجل لتلبية متطلبات رأس المال العامل للشركة؟

النقطة التي يجب ملاحظتها هي أنه ليس أي فرد يعطي أموالاً للشركة، بل في الواقع مساهم "يقرض" أموالاً للشركة مقابل عائد نقدي متوقع.

Company A which is a Dubai DED, LLC company wants urgent money - AED 100,000 - to operate its business. There are 2 partners in this company - Mr. X and Mr. Y.

Mr. X says he has no money right now, so he tells the company to go to the bank.

Mr. Y says he can "lend" the money to the company, but wants to charge the company 1% interest per month.

If company A goes to the bank, the bank will charge 2% interest per month. So it is cheaper for company A to actually take a loan from its existing partner Mr. Y.

Question: Is it legal for Mr. Y who is a partner in the company to charge interest per month on the money he has loaned to the company?

Interest can be included legally in the form of profits he used to lend to the company.

For example, in exchange for profits of 5%. Profits here replace interest, but you will find in the UAE businessmen and personal credit offices gave loans with relative interest whether it is legally permissible or not.

Good day!

With reference to your question, please be informed that as per the UAE Laws, lending money with interest is allowed for licensed banks and financial institutions only.

Any individuals involved in money lending (whether the said interest is explicit or implicit) will be liable to a jail sentence for a period not less than one (1) year and a fine not less than AED Fifty Thousand (50,000).

However, since you are lending money to a company in the capacity of a shareholder, you may execute an agreement with other shareholders that you require extra profit % or other benefits in addition to the percentage mentioned in Memorandum (MoA).
