Hi,

Is there a way to protect my software while making a demo for a potential client in the UAE?

Hi,

I trust you are well. In order to protect your software, it is highly recommended that the client sign a Non-Disclosure Agreement (NDA) prior to viewing your software.

The NDA will provide maximum legal protection in terms of the client's obligations and your remedies for a potential breach.

Thanks, Hayyan for the advice.

I would like to know if a paragraph like the following is enough to be attached to the presentation, or it is not binding:

Unless otherwise indicated, the Site and the relevant documents including this presentation is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions.

Hi,

Unfortunately, the clause provided above is not sufficient. Through an official NDA, you will secure your rights in a more cohesive and legally binding manner.

The NDA will cover, amongst other things, the following items: details of the party bound by the obligations, scope of confidentiality, remedies in case of a breach, etc.

I'm an individual and I only own a website and I'm not a company, in this case, will the official NDA secure my rights and be legally binding?

Irrespective of whether you are operating as an individual or a company, an NDA serves as a mechanism to ensure that your confidential information is not made available to others and will not be used without your prior written consent.

Should you wish for us to assist you in drafting an NDA, please contact us via email.
