A company is sold without the consent of a partner. What to do?
Q: Dear Sir/Madam, We purchased an LLC company in 2018 for 300,000 dirhams. We invested an additional 200,000 dirhams, and I granted full executive power to the Managing Director in the memorandum of understanding, including the authority to buy, sell, and manage the company. However, the Managing Director recently sold the shop to another company without my knowledge or consent. We are four partners: the local partner holds a 51% stake with an 85,000 dirham investment, the Managing Director holds a 17% stake with an 80,000 dirham investment, the third partner holds a 16% stake with an 80,000 dirham investment, and I hold the remaining 16% stake with an 80,000 dirham investment. The problem is that the partners are now claiming that the company is losing money and cannot afford to pay rent or renew its license. However, I managed the shop until 2023 and calculated the profits every month. I received my share of the profits, and the other partners also received their share. However, when I went on vacation, they started claiming that the company was making losses and stopped paying me my share of the profits. I know that they sold the shop and received 120,000 dirhams, but they are still lying to me and refusing to pay me my share. I have signed Form F and got the mortgage but the seller is in breach. What to do?
Q: Hi I have signed the MOU Form F since July 2023 and we prepared all the papers and the loan from my end on 23/8/2023. When I went to DLD for the transfer, the seller had registration issues and asked for some papers to be provided as the property is under the company not an individual. Since that time, we have kept renewing the MOU every month in the hope of finalizing but I am not seeing any progress. So I am asking about legal action as I already got a bank mortgage and started paying as well but not seeing any progress from the seller. So I need to ask the following: 1. If my MOU expired on 20.11.2023, can I file a complaint on 20 or after a couple of days like 23? 2. What will happen in terms of 10%? Will it be returned and what about the fees paid to the bank like mortgage fees, evaluation, and cancellation of loan? Will the EMI payment be compensated by the seller? 3. What is your advice? Can an employer deduct visa charges from salary before resignation?
Q: Dear Sir/Madam, I resigned from my position after working for 6 months (limited contract) because I was not satisfied and the company was not providing the basic conditions of employment. The accommodation was not provided as stipulated in the contract, transportation to and from work was not provided, medical insurance was not provided, and my salary was always paid in installments. I submitted my resignation to serve a one-month notice period, but the company refused to allow me to serve the notice period and instead demanded that I resign immediately. I have requested that my visa be canceled and my passport be returned to me (which has been in their possession), but they are asking me to pay for the visa costs. Is it legal for them to deduct the visa charges from my salary that I earned before resigning? Appreciate your response in this matter!
