س: أنا مستثمر ودفعت مليون ونصف درهم لصاحب شركة أردني بصفته المدير التنفيذي للشركة. تعاقدنا على استيراد 3 ألعاب من خارج الدولة في أواخر سنه 2013 وهناك خلافات بشأن الأرباح. ينص العقد بدفع أرباحي كل ستة أشهر بموجب شيكات، وكل مرة يعدني بأن يعطيني شيكات إلى يومك هذا. رفعت عليه قضية وأحالها القاضي للخبير المحاسبي، وللأسف لم ينصفني ابداً. للعلم، بعد التعاقد ب 7 أشهر وقعت على ملحق اتفاقيه أن الأرباح مناصفة ولكنه خدعني بكلمة (الأرباح التشغيلية) بما معناه أنني سوف أتحمل كل المصاريف الإدارية معه ووقعتها بحسن نية. الشخص موجود داخل الدولة ويصر أن لا يعطيني حتى شيكات ضمان، مع العلم أننا قمنا بتوقيع الاتفاقيه في مكتب المحامي ووقع إيصال على استلام المبلغ كامل باسم الشركة. والقاضي رفض إصدار منع سفر لأن الشركة فيها شريك مواطن ليس له علم بالموضوع ولا يستطيع أن يمنعه أيضاً من السفر. هل أستطيع منعه من السفر والذهاب الى قاضي الأمور المستعجلة لأنه يرفض أن يعطيني حتى شيكات، وإلى اليوم لم يسلمني درهماً واحداً مع العلم ان الألعاب شغالة ولها دخل ضعيف ولا يرضيني. كيف أقنع القاضي أن يمنع الشخص نفسه وليس الشركة من السفر خوفاً من الهروب؟

Q: I opened a bar business in RAK with a Lebanese partner. I financed it with AED 280,000 and he does the operation. Unfortunately, I withdrew my partnership as I cannot provide more money as he asked. We agreed on making an agreement that I will cancel my partnership and he will pay me the said amount every month by AED 5,000. The problem is that he didn't pay until now and its been 2 years. Every time I ask him he is saying no money yet, till he told me that we need to re-calculate the AED 280,000. He didn't meet me to re-calculate. Then, he moved the bar from the rooftop to the 4th floor and it's much bigger. So, he is saying that the bar is a different one already and we are not talking about the same bar anymore. I have an agreement signed, that if he gets a partner, he will pay me as well as if he sells the bar. Do I have any chances of getting the money back?

Q: I did partnership in LLC business with one Indian last year. Recently I asked him to return my investment as he was not giving any reward of my investment. He agreed to return it. But now he is absconding because he owes some amount to an old partner who filed a police case against him. What should I do now to protect my investment or to avoid further loss? My 2nd question is: which percentage of shares will apply in case of loss? Trade license shows 15% my shares.

س: السلام عليكم، تم توقيع اتفاق بين شركتي وشركة أخرى لاتمام صفقة تجارية واتفقنا على الربح شفهياً 50% لكل طرف. بعد ذلك قمت بتزويد تلك الشركة بعقد آخر مذكور فيه النسب الربحية ولكنها رفضت توقيعه وأخذت كامل الأرباح بطريقة احتيالية. هل من الممكن رفع قضية للمطالبة بإعطائي ربحي المتفق عليه عن طريق إرفاق العقد الموقع في بداية الأمر والعقد الثاني الذي رفض توقيعه؟ هل يتم النظر في الاتفاق الشفهي في المحكمة ؟ وشكراً

The provisions of this Law apply to the commercial companies established in the UAE and the foreign companies that have established in the UAE a base to conduct any activity therein or established a branch or representative office. The Law abrogates Federal Law No. (8) of 1984 Concerning Commercial Companies.
