مسؤولية مدير الشركة ذات المسؤولية المحدودة عن الشيكات المرتجعة

س: السلام عليكم، انا مدير شركة خاصة ذات مسؤولية محدودة ولدي توكيل بإدارة المنشأة وإجراء المعاملات الإدارية مع البنوك والى آخره، كما لدي صلاحية التوقيع على الشيكات. في آخر أشهر، دخلت الشركة في خسائر تجارية معينة. صاحب الشركة سافر لبلده بحجة قضاء إجازة والعودة فكنت مسؤولاً عن إعطاء شيكات لشركتين مختلفتين لكن بعد انقضاء الوقت المحدد لم يعد المالك صاحب الشركة والشيكات ارتجعت بحكم أنه لا يوجد رصيد في البنك. المشكلة انا صاحب الشركة في الوقت الحالي لا يجيب على الرسائل ولا توجد طريقة أخرى للتواصل معه و لنا، موظفي الشركة، رواتب متأخرة والتزامات لم تسدد، فما الحكم القانوني عليّ بعد إمضاء الشيكات؟ علمًا بأن اسمي غير مذكور في الرخصة التجارية. أنا مدير إداري. وشكرًا مسبقًا!

What to do if you file for the attachment of company assets and it still operates?

Q: The execution court executed the seizure of the company`s assets and closure for public auction. But later found out that there was already similar execution from another case done by a company that has a payment dispute with my employer a year ago. My employer is a construction company with many disputes from Labour and Arbitration cases. The court responded that I will be part of the court order for seizure and public auction of the company. 1. What will I do next? 2. What are my options since the first execution order for seizure of assets was a year ago and until now the company is still in business? 3. How can they operate after 2 execution court orders for the seizure of company assets and public auction? 4. Can a company still be on business after serving a seizure order?

س: لدي قضية عمالية بمحاكم دبي لعدم سداد أجور متأخرة ونهاية خدمة من صاحب العمل، وقد تم تأجيل رسوم المحكمة لحين صدور الحكم. إذا تم رفض القضية أو خسرت القضية، ماذا سيحدث؟ هل سألزم بتسديد رسوم المحكمة؟

Can the buyer add to an MOU a clause to avoid any unforeseen incumbrances?

Q: Hello, I like initial advice from a legal professional before proceeding with the sale of a shop. The buyer agrees to pay a deposit and sign an MOU but wanted to add a line in the MOU that if anything we hide or not disclose which he finds later - he will eligible for a deposit refund and a penalty from us. Now we say no to this open-ended clause right away. We provided a credit report, court letter, accounts everything to his due diligence representing a company but he still wants to add this line to make it risk-free. We thought no deal like this open question can be accepted anywhere in the world. Kindly advise Thanks

How can the wife force her husband to hold his responsibilities without divorce?

Q: Hello, My sister is married to an Indian who is working in Dubai for the last 6-7 years. He has been completely cut off from his wife and 1-year-old kid for the last 3 months. He writes in emails that he doesn’t want to continue and that he is going to cancel my sister`s residence visa. What options do we have in this case? My sister wants that he should continue the marriage but his activities do not suggest so. Is he not liable for anything? What rights do we have to pressurize him or in the future should we apply for abandonment/divorce in India or Dubai?

Is it possible to claim the EOSB after signing the cancellation paper?

Q: Hi, I am working for a company in Dubai that has a trade license registered both under the mainland and in the free zone. My work permit was under free zone for the last 06 years and now they have requested me to cancel the free zone visa and get the new work permit under the mainland. They have forwarded me a document from Tecom to proceed with the cancellation, stating that I have received all my dues as part of gratuity. However, the mitigation company has given a service continuation letter stating this is just an internal process and I have not received my dues. Is this enough to protect me legally from any dispute that may occur in the future, or do I need to ask them for a notary attestation of the outstanding dues to get more protection from a legal perspective? Can the employer deduct unpaid invoices by the employee's customer from his EOSB?

Q: Hi I`m resigning from my current company. But I`m worried because there has been an incident regarding a payment from a customer some months ago. The company is a leasing company. The incident involves a tenant who is working under a company that pays for his housing provided that all necessary docs are submitted to them. One of the docs needed is Tawtheeq or the documented tenancy contract in AUH which has some errors/differences from his last year`s Tawtheeq. Due to that, the tenant`s company refuses to pay our company the rent which is around 35000. My company is blaming me for this and they said that I should pay for the loss. The tenant paid from his own pocket 20,000. So there is a difference of 15000. Can they claim from me this amount once I resign? Will I be obliged to pay it before they can cancel me? Or have any grounds on filing a complaint against me? What are the legal bearings of this if any? I`m under Unlimited Contract started 10/01/21. It`s my 1st contract with them but it is my 2nd job in the UAE.

Q: I bought 2 flats, off-plan, in Dubai. The developer completed the project 2 months late and now requesting the remaining balance. Due to the pandemic, I lost most of my savings and my income has significantly reduced, so I am unable to pay the balance. I requested to change my payment plan and the developer did but added 6% on the top of the total price. I am disappointed with such a decision considering I joined the project from the start, so should gain some loyalty. Whereas they are offering a 25% deposit + 4 years post-handover payment plan to new buyers now with no interest. I tried to sell the apartments but this didn’t go down well due to the current pandemic situation and the developer refused to help. I am left with no choice but to terminate both agreements. I would like legal advice on how to terminate the agreements as I have never done it before and if there is any chance to get any money back from the developer. Many thanks.

Q: I have a will made in Dubai 10 years ago. I am a non-Muslim ex-pat. I lost my husband this year. The heir certificate issued is as per Muslim law. How can I get the will executed?
