Q: I did partnership in LLC business with one Indian last year. Recently I asked him to return my investment as he was not giving any reward of my investment. He agreed to return it. But now he is absconding because he owes some amount to an old partner who filed a police case against him. What should I do now to protect my investment or to avoid further loss? My 2nd question is: which percentage of shares will apply in case of loss? Trade license shows 15% my shares.

Q: I opened a bar business in RAK with a Lebanese partner. I financed it with AED 280,000 and he does the operation. Unfortunately, I withdrew my partnership as I cannot provide more money as he asked. We agreed on making an agreement that I will cancel my partnership and he will pay me the said amount every month by AED 5,000. The problem is that he didn't pay until now and its been 2 years. Every time I ask him he is saying no money yet, till he told me that we need to re-calculate the AED 280,000. He didn't meet me to re-calculate. Then, he moved the bar from the rooftop to the 4th floor and it's much bigger. So, he is saying that the bar is a different one already and we are not talking about the same bar anymore. I have an agreement signed, that if he gets a partner, he will pay me as well as if he sells the bar. Do I have any chances of getting the money back?

Q: We (12 persons) have invested in a Japanese restaurant (AED 100,000), each with 3 years contract. After 2 years, the owner failed to pay the shop rent for the past 6 months and the landlord had closed the shop. The owner signed a waiver to the landlord that he no longer has a claim on that shop, meaning to say, he already hands over the full restaurant to the landlord. The landlord already sold the shop to another person. 3 of the investors already have bounced cheques while mine will expire in Oct 2018, and others as well. Question 1. What is the procedure for filing a case against the previous owner since he breached our contracts? Question 2. My cheque is still not due, can I file a case against him? Q: Hi, I invested a sum of money and entered into a partnership in an LLC in Ajman for cafeteria activity. The managing partner didn't keep accounting properly through my reminders by emails and phone calls. After some time, the business was losing but I was not able to take the decision to sell my share due to lack of data. The business has stopped. The value of selling the business is less than the liabilities accumulated from rental, water, electricity, mobile. Recently, the landlord filed a legal notice for bounced cheques and I understood it has criminal and civil cases. PDC is issued by the managing partner. I can see the below 3 options, please advise which one is best and if there are other options as well. 1- Sell the business and, on top of that, pay my share in the liabilities? This means a complete loss of investment. 2 - Sue the managing partners for negligence and hiding information which led to a loss of investment. Had they reported properly before, I could have sold my shares. 3- Do nothing and wait for court.

Q: I have invested in a company for lucrative profit returns in 6 months documented in Dubai courts agreement plus a contract from the company. The company contract has weekly profit for an amount of 6 months. I have 4 contracts that end each in 6 months. The 1st contract ended in June, 2nd will end in July, 3rd in Aug, and 4th in Sep 2021. I did receive weekly profits delayed by ±4 days into my account, however, since the 3rd week of April, I have stopped receiving the profit from the company and CEO in charge of the deal. I have tried to communicate with the company and the CEO but all I get is a message saying 'you will receive the amount his week'. No amount received and I have a substantial backlog. Due to this improper communication and dealing, I would like to know the course I should take to recover my investments. Appreciate the advice to move forward.

Q: Dear sir/madam, I need to hire an experienced lawyer (civil case, cheque bounce case). I have invested a total amount of 250,000 AED with a catering company and due to Corona, their business went down and they are not able to return my capital amount. I gave them more than 8 months but nothing. I have already registered the case online (dc.gov.ae) and the court already accepted and asked me to pay 2% which is around 5800 (including the travel ban). Now what I would like to know is what happens exactly after I make the payment? Will the court give 15 days notice period and I will get the execution order? What are the steps? How much would the legal office cost? (note: I have already registered a case as I said)

The provisions of this Law apply to the commercial companies established in the UAE and the foreign companies that have established in the UAE a base to conduct any activity therein or established a branch or representative office. The Law abrogates Federal Law No. (8) of 1984 Concerning Commercial Companies.
