Can a shareholder bind a civil company in Dubai if he is not the manager or director?

The company's Professional Licence from the Dubai gvt. just refers to them as partners.

He calls himself Managing Director, but I have no documentation to substantiate that.

I don't care about what he is calling himself. Only documents are reflecting the truth.

Yes, we'll sign an agreement if they can convince me he's got the power to bind his company.

Was thinking I want either a PoA, or some document formally appointing him as MD (I reckon one of the (intrinsic) powers that can be read into an appointment as MD would be the right to bind the company, so I'll accept that).

They want to tell me though, that the simple fact that he's a partner gives him the right to bind the company (coupled with being called a director [clearly insufficient], or Managing Director [might be enough]).

You know, it is a very good point that this issue has dragged your attention as I have many cases where the person who signs the agreement is not an authorized person and does not represent the company.

However, I have defenses and I know how I should reply but it would be much better if my clients noticed this point from the beginning.
