الفرق بين حل الشركة والتصفية وإشهار الإفلاس

سيدي العزيز / سيدتي العزيزة،

لديّ شركة مدنية صغيرة للخدمات الاستشارية (ليست شركة ذات مسؤولية محدودة). الشركة عليها ديون لم نتمكن من سدادها. أحد الشركاء يرفض التعاون ويرفض التوقيع على عقد لإغلاق الشركة من أجل تصفيتها بالاتفاق المتبادل.

أ) ما هي الخطوات التي يجب عليّ اتخاذها لحل الشركة؟

ب) هل هناك فرق بين "حل" و"تصفية" و"إشهار إفلاس" شركة مدنية؟

ج) ما هي حقوق دائني الشركة المدنية بعد إغلاق الشركة؟

د) ماذا يحدث لقضايا التنفيذ السابقة ضد الشركة بعد إغلاقها؟

A) Regarding the dissolution of the company, various remedies or steps can be taken, such as shareholder vote, to resolve the issue or you can file a lawsuit to force dissolution. The court may make appropriate orders to dissolve the corporation.

B) Dissolution means it is a formal death of the company. Whereas liquidation is a part of overall dissolution like selling off assets, turning them into cash or cash equivalents which are then distributed to creditors and owners according to priority claims.

Bankruptcy is a legal procedure held by the court when an organization is unable to honor its financial obligations or make payment to creditors, then, it files for bankruptcy.

C) We need more clarification regarding this.

D) The license of the company cannot be canceled until the execution file is closed.

Liquidation can be mutually agreed upon, can be enforced via court order upon one partner's request and can be mandatory if reached to a certain limit of loss, otherwise, partners will be personally liable.

Is there a difference between "Dissolution", "Liquidation" and "Bankruptcy" for a CIVIL company?

Dissolution and liquidation are the same. Bankruptcy is when the company is not able to pay its debts.

In my case, the civil company cannot pay its debts. There are articles in the civil transactions law re liquidation of a company that has losses.

There is bankruptcy law that is applicable to civil companies also. Can I request the court for liquidation and not apply bankruptcy laws?

What are the benefits to liquidate and not follow bankruptcy proceedings?
