The power to transfer shares in an LLC company

Can a power of attorney holder (staff) or the local partner in Dubai change the 49% partner without his or her consent?

If changed, how is it possible to get the new changed LLC agreement for our reference?

Please advise.

Hi

Thanks for your message.

We understand you wish to know whether an employee holding a POA from the company (such as PRO...etc.) or the partner/shareholder in an L.L.C. company holding 49% of shares, can be removed without his consent or approval.

Any such actions will have to be in accordance with the Memorandum of Association and UAE Law. After reviewing the MOA and other relevant documents of the company, we would be able to advise you better.

We frequently handle such matters and you can also schedule a consultation session with one of our legal consultants for a comprehensive discussion of your matter.

Our professional charges for an hour-long consultation would be AED 650/ inclusive VAT. Please feel free to contact us at a.odeh@miolawfirm.com

Regards,

Ahmed Odeh
