Q: We started a company in 2011 in JLT Dubai with X and Y as shareholders registered in the Memorandum of Association "MoA".
The MoA and trade license confirm me as a manager and authorised signatory. In 2015, shareholder X gave me a letter signed by him on company letterhead, granting me 15% of the company shares.
Q 1. Is this adequate to protect my interests?
Q 2. I would like to get this letter notarized. Will this help my case further? What documents are required for this?

Q: Dear Madam,
What is the requirement to pass a special resolution in an L.L.C company?
My friend is a 24% partner in an L.L.C company and the other two partners are a local sponsor (51%) and a third-person (25%) shareholder.
Recently, they debited from my friend's account a huge amount on account of 50% rent for the last 13 years. To make this transaction, the local partner and the other 25% partner, who is the owner of the property, jointly passed a resolution for charging rent for the last 13 years without informing him in advance.
I would like to know: is this valid?
What are the requirements to pass a resolution in this type?
No one informed my friend in advance about this resolution. Is this resolution valid?
My friend is the affected party. What is the local company law saying?

Q: I and a local sponsor are partners in a company. He has a 76% share while I have 24%. I am the only working partner and I only invest.
His name is as manager on the trade license but my name is on the partner register. Smartly, his manager played a trick and, in the account, put my name as a joint while his name is as single.
All the money has been taken out of the account without even informing me. My license is registered under DED.
What should I do?

I established a civil company in Dubai with a partner. My share is 25%, my partner share is 70%, and 5 % is for a local agent
My partner is blackmailing me that he can blacklist or ban me. We have no bank account. We just have a partnership agreement in a notary public.
My visa is a manager's visa. So I just want to know how can I solve that problem?

My partner is hiding documents and emptying the bank account. What can I do?

Q: Dear Lawyers,
I have a 49% share in a 2-year-old Dubai mainland LLC. We are two foreign owners, both managers.
My partner, who is appointed as the main manager, is hiding all documents and keeps the bank account empty through ATM withdrawals, which prevents me from obtaining evidence or finding a buyer.
A legal notice is likely to be ignored, and removing my partner would be a lengthy process. I have no concrete evidence of a breach of trust. What are my options?

Will the Founders Agreement hold value regarding share allocation and vesting over the MoA?

Q: Dear Lawyers,
I plan to have the MoA and Founders Agreement notarized for the LLC, where the Founders Agreement references details regarding share allocation and the vesting period.
The MoA does the same but shows different share allocations and no vesting, as requested by the Free Zone.
If both are notarized, will the Founders Agreement hold value regarding share allocation and vesting over the MoA?

Hello,
My employer fired me under Article 44 for not showing up for work for 7 days in a row. But that’s not the case at all. I was sick and the management was aware and they let me go.
I went to another country to get treatment because it’s expensive in Dubai. My employer did not pay me my salary for the month I worked and fired me.
I have official sick leave from another country and there is correspondence where my employer sent me to another country for treatment.
The problem is that the employer says that he will take compensation for the training that was specified in the contract, but I did not undergo training at all; I immediately started work from the first day of work and there was no training.
Does my employer have the right to charge me such a fee and not pay my salary?

Hi,
I have a situation where I signed an MoU and gave my security deposit to the seller's agent. However later, the bank valuation of the property is lower than the selling price.
On my MoU, it has a clause that “the buyer has a right to cancel/negotiate if the bank valuation is not the same as MoU.” I tried to negotiate, however, we didn't agree on the price so I asked to cancel.
Now the agent is threatening me that they will not cancel the MoU and that will deposit my cheque. Later I also came to know that the person I am dealing with is not the same person whose name is mentioned as a broker in the MoU.
The agent I am dealing with is constantly messaging me with threats. I decided not to speak to him and instead, I wrote an email to the broker whose name is mentioned on the MoU but received no response.
I am on a very tight timeline as I need to vacate my apartment in 3 weeks, I found another unit but I don't know if I can pursue this while the initial MoU still not canceled.
Please, I need advice.
