Q: Dear Lawyers, Can a partner in an LLC company (Dubai Mainland) sell their shares to a third party without the consent of the other partners? If one partner wants to exit the company and the other shareholders are neither responding to this request nor giving permission, what is the way forward? We have sent an email to the other shareholders notifying them of the intention to sell the shares, but there has been no response. Please advise. Please advise!

What can I do if my company is pressuring me to sign an unfair new contract?
Q: Dear Lawyers, I joined a company in Dubai. According to the contract agreement given to me by the company, if I leave before the fixed contract period, I have to give two months` notice and pay a sum of 6000 dirhams. I agreed to this and continued to work under that agreement. However, the company has now introduced a new contract agreement, and all employees are under pressure to sign it. The new conditions state that no employee can take a similar job in the UAE and must agree to pay USD 3500 (AED 12600) upon leaving during the contract period. What actions can I take regarding the unfairness of this situation?

Can I return to Dubai by paying only the court fine for a 2016 debt case?
Q: Dear Sir, I hope this message finds you well! I am writing to seek your advice regarding a debt case filed in 2016 in the UAE. The debt amounts to approximately 45,000 AED (20,000 AED cheque amount and 25,000 AED credit card amount). The associated interest has now possibly exceeded 150,000 AED. I have recently secured a job in Dubai and am eager to return; however, I am currently unable to pay the full debt amount. I am aware of a court fine of 5,000 AED. I would like to understand if there is any possibility of returning to Dubai by paying only this court fine and lawyer fee. Could you please advise on any available legal avenues or procedures that may allow me to resolve this matter and return to Dubai under these circumstances? Is the RERA rental index calculator applicable to hotel apartments?
Q: Dear All, I currently have an annual rent contract with a hotel apartment in Al Barsha, Dubai. I have a separate Ejari and pay my unit`s DEWA bills. My current yearly rent is the same as the rent advertised for new units in the same building. However, my contract renewal is due in three months, and the building management has informed me that a 10% increase in rent will be applied if I wish to renew. According to the RERA rental index calculator for the Al Barsha area, my current annual rent is already higher than the average rent, so no increase in rent is permissible. The building management has stated that they don`t fall under the RERA rental index because they`re hotel apartments. I wish to verify whether they fall under RERA rent index guidelines or not. Please advise. I am willing to open a rental dispute case and seek legal help, but I need to check if it will be valid. Thank you!2024/07/27

My ex-employer was under the Techno Park Freezone, but I couldn`t find their Freezone authority website. The company has been closed for two years. Q: Hello, My tenant`s current tenancy contract is due for renewal on 24th July 2024 (the contract period end date is 24th July 2024). However, I would like to give a 12-month eviction notice to my tenant before the end of the existing tenancy contract. Can I do it? If I give a 12-month eviction notice on 15th July 2024, the end date to be mentioned at the time of renewal of the new tenancy contract would be the end date of the 12-month eviction notice, right? Please confirm.

Unpaid for 5 months: Should I leave immediately or file a complaint with MOHRE?
Q: Good day! I would like to seek advice regarding my situation. I am currently employed by a Freezone company under a limited contract valid until October 2024. The issue is that they haven’t paid our salaries for 5 months (since February 2024). We have been receiving monthly promises that they will pay and settle the amounts, but we haven`t received anything. I tried talking to the management and sent them emails, and they again promised that they will settle everything in 2 months. I want to know my rights and if it is possible to leave without the notice period since they are already in breach of contract. Additionally, is it better to complain to MOHRE immediately before my resignation, or should I wait for the 2 months they promised? Thank you for the insights!+3

Is a non-renewable rental contract clause enforceable under UAE law?
Q: Dear Lawyers, While signing a rental renewal contract, the following clause is added: "This contract is a non-renewable contract, and the tenant agrees to vacate the premises at the end of the tenancy contract. He acknowledges that he has no right to file or claim in the future any lawsuit or compensation claim against the owner regarding this property, including what’s in it." The tenant signs the contract. My questions are: Q1. Is it legally enforceable within the UAE legal system, as it basically contradicts the basic rights of residents and tenants in the UAE? "No one has the right to prevent another person from resorting to the judiciary." Q2. This was used as a pressure instrument by the landlord as a condition of renewal after serving an eviction notice. This is all documented over emails. Q3. Can I sue the landlord for using the pressure tactic of serving me an eviction notice, pressing me for a rental increase, and making me sign this clause? All communications are documented.+1
