Dismissal of embezzling partner in civil partnership: What is the process?

Dear Sir/Madam,

I am a partner in a civil partnership, holding 33%, while the others hold 33% and 34% respectively.

We want to dismiss one of the partners as we have discovered that she has been embezzling accounts, treating staff unfairly, and withholding financial records.

What is the process to dismiss this person if she is not willing to resign?

Myself and one of the partners with 34% ownership are in agreement about the dismissal of the third partner.

The civil partnership license is renewable in August 2023. If we, two partners, do not agree to renew the license, what will happen?

Will the third partner have to stop trading as we simply want to walk away from this person and the losses?

As a lawsuit can be understandably costly, we want a swift end to this matter.

As two partners financed the company, the third person did not financially contribute anything.

It must be removed either by a court case or by purchasing a share and assigning it to the notary.
